1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Neutimes Holdings LLC, doing business as VinPassed ("VinPassed," "we," "us," or "our"), governing your access to and use of the vinpassed.com website and vehicle history report services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

VinPassed provides vehicle history reports based on Vehicle Identification Numbers (VINs). Our reports compile data from various third-party sources, which may include:

• Theft and recovery records
• Odometer readings
• Vehicle specifications and features
• Dealer listing history
• Estimated repair costs

4. Purchases and Payment

4.1 Pricing

All prices for vehicle history reports are displayed on our website and are subject to change without notice. Prices are in U.S. dollars unless otherwise specified.

4.2 Payment Processing

Payments are processed through our third-party payment processor. By making a purchase, you agree to provide accurate and complete payment information and authorize us to charge your payment method for the total amount of your order.

4.3 Digital Product Delivery

Vehicle history reports are digital products delivered electronically immediately upon successful payment processing. Reports are made available through our website and/or sent to the email address you provide.

5. Accuracy and Limitations of Information

5.1 Data Sources

VinPassed compiles vehicle history information from various third-party sources. While we strive to provide accurate and comprehensive reports, we do not independently verify all information and cannot guarantee that our reports are complete, accurate, or error-free.

5.2 Limitations

You acknowledge and agree that:

• Not all vehicle history events are reported to or captured by data providers
• There may be delays between when an event occurs and when it appears in a report
• Some records may not be available for all vehicles or in all jurisdictions
• Odometer readings, damage assessments, and other information are reported by third parties and may contain errors
• The absence of information in a report does not mean an event did not occur

5.3 Not a Substitute for Inspection

Our reports are for informational purposes only and are NOT a substitute for an independent, physical inspection by a qualified mechanic. We strongly recommend having any vehicle you are considering purchasing inspected by a professional before completing the transaction.

6. Permitted Use

You may use our Service and reports for:

• Personal research when considering a vehicle purchase
• Verifying information about a vehicle you own
• Other lawful purposes consistent with these Terms

7. Prohibited Uses

You agree NOT to:

• Use the Service for any unlawful purpose
• Resell, redistribute, or commercially exploit our reports without authorization
• Use automated systems, bots, or scrapers to access the Service
• Attempt to circumvent any security measures or access controls
• Use the Service to harass, stalk, or harm any individual
• Misrepresent your identity or affiliation

8. Intellectual Property

All content on the VinPassed website, including but not limited to text, graphics, logos, images, software, and report formats, is the property of Neutimes Holdings LLC or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.

9. Disclaimer of Warranties

THE SERVICE AND ALL REPORTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, timely, secure, or error-free
• The information in our reports is complete, accurate, or current
• Any errors in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEUTIMES HOLDINGS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Cost of substitute products or services
• Any damages arising from your use of or inability to use the Service
• Any damages arising from decisions made based on information in our reports

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC REPORT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Neutimes Holdings LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any claim that your use of the Service caused damage to a third party

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VinPassed regarding the Service and supersede all prior agreements and understandings.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by VinPassed.

20. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
